Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the SonicCx enterprise commissioning and handover platform, operated by SonicCx Pty Ltd. Please read these terms carefully before using our services.

Acceptance of Terms

By accessing or using the SonicCx platform and services, you agree to be bound by these Terms of Service and our Privacy Policy. If you are accepting these terms on behalf of an organisation, you represent that you have the authority to bind that organisation to these terms. If you do not agree to these terms, do not use our services.

Platform Services

SonicCx provides an enterprise commissioning and handover management platform as a software-as-a-service (SaaS) offering. The features and functionality available to you depend on your subscription plan and the terms of your service agreement. We reserve the right to modify, update, or discontinue features with reasonable notice.

Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised use of your account. You agree not to share your credentials with unauthorised parties or use the platform in any manner that violates applicable laws or regulations.

Data Ownership

You retain ownership of all data, documents, and content you upload or create within the SonicCx platform. By using our services, you grant SonicCx a limited licence to process your data solely as necessary to provide the services described in your service agreement. We will not use your project data for any purpose other than providing and improving the services contracted to you.

Acceptable Use

You agree to use SonicCx only for lawful purposes and in accordance with these terms. You must not: use the platform to store or transmit unlawful content; attempt to gain unauthorised access to any part of the platform or other users' data; interfere with or disrupt the platform's security or performance; or use the platform in any way that could damage SonicCx's reputation or infrastructure.

Intellectual Property

SonicCx and its licensors own all intellectual property rights in the platform, including software, design, trademarks, and documentation. Nothing in these terms grants you ownership of or rights to the platform itself. You may not copy, modify, distribute, or create derivative works from any part of the SonicCx platform without our express written consent.

Service Level Commitments

SonicCx provides platform availability commitments as specified in your service agreement. We target 99.9% uptime for enterprise accounts, excluding scheduled maintenance windows. Our team monitors platform performance continuously and will notify you of any planned maintenance or significant incidents.

Limitation of Liability

To the maximum extent permitted by applicable law, SonicCx shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform. Our total liability for any claims arising under these terms shall not exceed the fees paid by you to SonicCx in the twelve months preceding the claim.

Termination

Either party may terminate a service agreement in accordance with its terms. Upon termination, your access to the platform will cease. You will have a reasonable period to export your data before it is deleted in accordance with our data retention policies. Certain provisions of these terms that by their nature should survive termination will remain in effect.

Governing Law

These Terms of Service are governed by the laws of New South Wales, Australia. Any disputes arising under these terms will be subject to the exclusive jurisdiction of the courts of New South Wales, unless otherwise agreed in your service agreement.

Changes to Terms

We may update these Terms of Service from time to time. Material changes will be communicated with at least 30 days' notice via email or platform notification. Your continued use of SonicCx after the effective date of updated terms constitutes acceptance of the revised terms.
